Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Lemonly Technologies Inc., trading as lemonly ("lemonly," "we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement").

By submitting an application through our platform, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy, and that your application may be reviewed and assessed using AI technology as part of the lemonly service.

1. Who We Serve

We provide services to two types of users:

• Candidates – individuals who submit resumes or application materials, either directly through lemonly or via a hiring manager or integrated system.
• Hiring Managers – individuals or organizations who post roles, review candidates, and upload or sync candidate data for evaluation.

These Terms apply to both user types unless otherwise specified.

2. Our Services

lemonly is a hiring and career application platform that enables:

• Candidates to apply for roles, receive AI-assisted evaluation of their applications, and discover other relevant job opportunities.
• Hiring managers to post roles, assess candidates, and manage hiring workflows using AI-assisted tools.

As part of providing the service, lemonly may analyze application data, interview data, and prior hiring context to improve evaluation quality, match accuracy, and application outcomes across current and future roles.

For Candidates, the platform is free to use.
For Hiring Managers, the platform is provided on a monthly subscription basis.

3. Pricing, Billing & Refunds

• Hiring managers are billed monthly for usage of the platform.
• All fees are non-refundable. However, we offer a satisfaction guarantee: at our discretion, we may issue a credit toward future usage where appropriate.
• All prices are displayed in your local currency (e.g., USD for U.S. customers, CAD for Canada).
• Taxes, duties, and other applicable charges may apply based on your jurisdiction.

4. AI-Powered Assessment & Contractual Necessity

lemonly uses AI-assisted tools to evaluate applications and related context, including automated ranking, scoring, summarization, and matching against role criteria.

For candidates, reuse of application data within lemonly is a core and necessary part of the service. This may include using previously submitted information to:

• evaluate fit for additional relevant roles,
• improve assessment accuracy and fairness,
• reduce repeated data entry,
• and support better application outcomes over time.

This processing is necessary to perform the contract between you and lemonly under applicable data protection laws (including GDPR Article 6(1)(b)).

AI tools assist the hiring process but do not make hiring decisions. Final decisions are always made by hiring managers or their organizations.

5. User Responsibilities

5.1 Candidates

You agree that:

• All information you submit is accurate, complete, and lawful.
• Your application data may be reused within lemonly to support evaluation and future applications, as described in our Privacy Policy.
• You retain ownership of your resume and application materials, but grant lemonly a license to process, analyze, display, and (in anonymized or aggregated form) use them to operate and improve our services and AI technology.

If you do not wish for your data to be processed in this way, you should not use the lemonly platform.

5.2 Hiring Managers

You agree that:

• You have lawful authority (including candidate consent where required) to upload, sync, or otherwise provide candidate data to lemonly.
• You may only use candidate data for legitimate hiring purposes.
• You retain ownership of your job postings and materials, but grant lemonly a license to process and display them.
• You will comply with all applicable laws, including employment, anti-discrimination, and privacy regulations.
• You will not scrape, resell, or misuse candidate data.

6. Acceptable Use

You may not use the platform to:

• Upload or share unlawful, discriminatory, harmful, or misleading content.
• Interfere with or disrupt platform functionality.
• Access the platform to extract or resell data.
• Violate applicable laws or the rights of others.

7. No Guarantee

We do not guarantee that:

• Candidates will be hired.
• Hiring managers will find suitable candidates.
• The platform will be uninterrupted or error-free.

lemonly provides tools to support hiring decisions; final responsibility rests with hiring managers.

8. Service Availability & Updates

We may update, modify, suspend, or discontinue parts of the platform at any time. We do not guarantee continued availability of any feature.

lemonly may introduce new features or services over time. Unless stated otherwise, such features will be governed by these Terms.

9. Data Use for AI Improvement

We may use candidate and hiring manager data in anonymized or aggregated form to improve our AI models, algorithms, and services. No personally identifiable information is used for this purpose without an appropriate legal basis.

10. Third-Party Services & Integrations

lemonly may integrate with third-party services, including applicant tracking systems (such as Ashby, BambooHR, or similar platforms), calendar tools, hosting providers, analytics services, and payment processors.

By enabling such integrations, hiring managers authorize lemonly to access and process data from those systems solely to provide lemonly services. lemonly is not responsible for the availability, accuracy, or reliability of third-party services, or for changes introduced by those providers.

11. Interview Recording & Consent Responsibility

Where lemonly tools record or transcribe interviews, hiring managers are responsible for ensuring that all interview participants have been appropriately informed and have provided any required consent under applicable law.

lemonly provides technical tools to support interview assessment but does not independently verify consent in every jurisdiction.

12. Account Management & Termination

We may suspend or terminate any hiring manager account that:

• Violates these Terms,
• Engages in fraudulent or unlawful activity, or
• Misuses candidate information.

We may also remove or reject candidate applications that violate these Terms or applicable law.

13. Intellectual Property

All platform content and materials (excluding user-submitted content) are owned by or licensed to lemonly.

You may not copy, distribute, or modify any part of the platform without our written consent.

14. Indemnification

Hiring managers agree to indemnify, defend, and hold harmless lemonly and its affiliates from any claims, damages, or expenses arising from:

• Uploading or syncing candidate data without proper authorization,
• Failure to obtain required candidate consent,
• Misuse of candidate information, or
• Violation of these Terms or applicable law.

15. Limitation of Liability

To the fullest extent permitted by law:

• lemonly is not liable for indirect, incidental, or consequential damages.
• AI-generated outputs are informational and probabilistic in nature and are provided "as is," without warranties of accuracy, completeness, or fitness for a particular purpose.
• Our total liability will not exceed the amount paid for the relevant service (for hiring managers), or $0 (for candidates).

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada.

16.1 Arbitration First

Disputes must first be resolved through binding arbitration conducted online or in British Columbia, Canada, using a mutually selected independent arbitrator.

16.2 Court as Fallback

If arbitration fails, disputes will be resolved exclusively in the courts of British Columbia, Canada.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on our site or communicated by email. Continued use of lemonly constitutes acceptance of the updated Terms.
